Buyer – 1) Any natural person who has reached eighteen (18) years of age and possesses full legal capacity; 2) A legal entity duly registered under applicable law.
Contract (or Sales Contract): Refers to the legally binding purchase agreement concluded between the Seller (UAB “SPA WAVE”) and the Buyer for the sale, delivery, and acquisition of the product(s). The Contract is legally concluded upon the Buyer placing an order via the e-shop (or accepting a written commercial quotation), actively confirming acceptance of these Terms and Conditions, and receiving an explicit order confirmation or dispatch notice in writing (e.g., via email) from the Seller.
1.1. UAB SPA WAVE provides a Statutory Warranty Rights of two (2) years for hot tubs and their parts. The warranty period begins on the date the goods are transferred to the Buyer.
1.2. The Buyer is entitled to warranty coverage for manufacturing and material defects, provided that the product has been used for its intended purpose and in strict accordance with the Seller’s installation, operation, and maintenance instructions.
1.3. The sales contract is considered concluded and legally binding from the moment the Buyer places an order via the e-shop (or contacts the Seller directly), selects a payment method, confirms the order, pays the full purchase price, and confirms acceptance of these Terms and Conditions by checking the designated confirmation box.
1.4. UAB SPA WAVE provides a statutory warranty of two (2) years for private consumer (B2C) use. For goods used for commercial, industrial, or rental purposes (e.g., holiday homes, Airbnbs, hotels, public facilities), the warranty period is limited to six (6) months from the date of delivery.
1.5. Disproportionate Expenses & Removal Costs: In the event of a product replacement or repair under statutory defect rights, the Seller reserves the right to refuse a specific type of remedy or cost coverage if it would cause disproportionately high expenses compared to the value of the product or the defect. The Seller is not liable for secondary structural modifications, including expenses related to dismantling surrounding custom wooden terraces, decks, sunken patio structures, or specialized crane operations, where such costs are disproportionate under applicable law.
1.6. Any unauthorized repairs, alterations, modifications, or technical intervention carried out by the Buyer or third parties without the prior written consent of UAB SPA WAVE shall immediately void all warranty rights.
2.1. The Seller shall not be liable for defects or damage resulting from improper or negligent maintenance, storage, installation, use, modification, or repair of the product, nor from natural wear and tear or mechanical damage.
The warranty excludes, among other things, but not limited to:

The warranty does not cover characteristics typical of natural wood materials, including but not limited to cracks, discoloration, shrinkage, deformation due to environmental conditions, minor leakage caused by wood movement, or other natural properties of wood that can be minimized through proper maintenance in accordance with the provided instructions.
2.3. The warranty does not cover damage to the stove caused by freezing water inside the stove or damage resulting from operating the stove without sufficient water inside the hot tub.
2.4. The warranty does not cover damage to the hot tub or internal equipment caused by freezing water inside the tub. The Buyer must fully drain the hot tub whenever there is a risk of freezing temperatures.
2.5. Any changes in fiberglass color resulting from the physical or chemical properties of water, or from chemicals used for water treatment and cleaning, are not covered by the warranty.
2.6. The warranty does not cover wear-and-tear parts, including but not limited to faded stove or door paint, or damage to coatings of chrome-plated parts such as couplings and nozzles.
2.7. The warranty does not cover minor cosmetic imperfections, including very small visible scratches on fiberglass or wooden surfaces, regardless of their shape.
2.8. The Buyer acknowledges that wood is a natural, living material that reacts to changes in ambient temperature, weather conditions, and humidity. Natural phenomena such as thermal expansion, swelling, shrinkage, surface hair cracks, resin leakage, knots, minor colour variations, or natural weathering are inherent properties of wood and do not constitute product defects or material faults. In particular, minor, temporary water seepage or dripping between exterior wooden cladding boards after extended dry periods, during initial filling, or following transport is a natural characteristic of wood as it adjusts and swells. Such temporary leakage is excluded from warranty coverage and can be resolved through standard maintenance and allowing the wood to swell naturally.
2.9. The warranty does not cover discoloration, mineral scale accumulation, or component corrosion resulting from the use of unsuitable water sources, including but not limited to unrefined well water, saltwater, sea water, or excessively hard water.
2.10. Damage to the stove, heater, filtration pumps, hydromassage pipes, or shell resulting from ice formation or freezing water is strictly excluded from warranty coverage. The Buyer bears full responsibility for ensuring the system is completely drained during sub-zero temperatures.
3.1 The Buyer must be present on site at the time of delivery and assist the transport company as reasonably required. The Buyer must ensure safe and adequate access for delivery and provide clear instructions for unloading.
The Buyer is responsible for ensuring that:
The Seller shall not be liable for damage or injuries resulting from inadequate site preparation, unsafe access conditions, or failure to meet the above requirements. Responsibility for the hot tub transfers to the Buyer upon delivery.
3.2. Delivery is generally performed using a large van with a tail lift or flatbed trailer. The Buyer must ensure that access is suitable for such vehicles. The Buyer is responsible for ensuring that the delivery location and access routes are suitable and sufficiently firm for the delivery vehicle; the Buyer shall be liable for damage resulting solely from unsafe or unsuitable site conditions provided by the Buyer, whereas risk of damage to the product during transport or damage caused by driver negligence remains governed by statutory provisions. If delivery is made via trailer, the Buyer is responsible for organizing sufficient manpower (recommended minimum of four persons) or appropriate lifting equipment (e.g., forklift) to unload and position the hot tub. If the product is delivered by van, the Buyer is advised to have at least two people on site to assist the driver in safely unloading the hot tub. The pathway to the intended installation location must be stable, firm, and solid to allow safe transport of the hot tub using a hand forklift. If the surface provided by the Buyer is not sufficiently firm or suitable, the Buyer shall be liable for damage resulting directly from such unsuitable site conditions, while risk of damage during handling and transport otherwise remains governed by statutory provisions.
3.3. Upon delivery, the Buyer must carefully inspect the goods for completeness and visible transport damage in the presence of the courier. The Buyer must sign the delivery document confirming that there is no visible damage to the goods received. The document must be signed by both parties on site. The Buyer must retain the invoice and proof of purchase for warranty purposes.
3.4. If the Buyer identifies transport damage or missing parts upon delivery, the Buyer must immediately inform the courier, record the damage or missing parts in the delivery document, take photographic evidence, and ensure the document is signed by both parties.
3.5. Reporting Transport Damage: If goods are delivered with obvious or hidden transport damage, the Buyer is kindly requested to report such damage to the Seller in writing (preferably with photographs) within fourteen (14) days of delivery. This rapid reporting enables the Seller to successfully enforce its own recourse claims against the transport carrier. The Buyer’s statutory warranty rights and claims for defects remain entirely unaffected if the Buyer fails to make a report within this period.
3.6. The Buyer is exclusively responsible for ensuring that water drained from the hot tub is disposed of safely and in accordance with local municipal environmental and wastewater regulations. The Seller accepts no liability for flooding, property damage, or municipal fines resulting from improper water drainage.
3.7. If delivery cannot be completed due to the Buyer’s absence at the agreed delivery time, inaccurate access information, or unsuitable unloading conditions provided by the Buyer, the Buyer shall bear all additional costs incurred for redelivery, storage, or transport return.
3.8. Scope of Delivery: Delivery by the Seller or carrier does not include product installation, connection to electrical/water utilities, or structural placement. The Buyer is exclusively responsible for the safe assembly, positioning, and installation of the product in accordance with the provided technical guidelines.
3.9. Delivery Timeframes: Delivery timeframes communicated by the Seller are estimates unless explicitly agreed as a fixed deadline in writing. Standard delivery within mainland Europe typically takes between 14 to 28 business days following receipt of order confirmation and payment.
4.1. If a warranty claim is confirmed as valid, SPA WAVE shall, within a reasonable period of time:
(1) Repair the product or provide necessary repair materials free of charge; or
(2) Replace the defective product with a new or equivalent product; or
(3) Refund the purchase price of the product or the value of the defective part if repair or replacement is not feasible.
The Buyer may choose between repair or replacement. SPA WAVE reserves the right to refuse the chosen remedy if it is physically impossible or creates disproportionate costs
4.2. If the product is returned for repair or replacement, the Buyer must pack the product in a manner equivalent to the original packaging and place it in the same location where it was originally unloaded. The Seller shall bear return shipping costs only if the warranty claim is recognized as valid.
5.1. Upon valid cancellation, the Buyer shall receive a full refund within fourteen (14) days from the date the Seller receives the cancellation notice.
5.2. If custom production of a hot tub has commenced, the Buyer shall not have the right to cancel the order, as the product is considered to be manufactured according to the Buyer’s individual specifications, pursuant to Article 6.228(10) of the Civil Code of the Republic of Lithuania. In such cases, the statutory right of withdrawal does not apply.
5.3. Consumers purchasing via the e-shop have a statutory right of withdrawal within fourteen (14) days from the date on which the consumer or a third party designated by the consumer takes physical possession of the goods. To exercise the right of withdrawal, the consumer must inform UAB SPA WAVE by means of a clear written statement (e.g., via email or post) prior to the expiration of the 14-day period.
5.4. Right of Withdrawal: If the Buyer is a private consumer (B2C) purchasing for personal, non-commercial use, the Buyer has the statutory right to withdraw from the contract within fourteen (14) days without giving any reason.
The withdrawal period is fourteen (14) days from the day on which the Buyer, or a third party designated by the Buyer (other than the carrier), takes physical possession of the hot tub.
To exercise the right of withdrawal, the Buyer must inform:
by means of a clear, unequivocal written statement (e.g., a letter sent by post or an email) declaring their decision to withdraw from the contract.
5.5. If the Buyer withdraws from the contract, the Seller shall refund all payments received from the Buyer, including standard outbound delivery costs (with the exception of supplementary costs resulting from the Buyer choosing a type of delivery other than the least expensive standard delivery offered by the Seller). The refund shall be issued without undue delay and no later than fourteen (14) days from the day on which the Seller receives the returned product or proof of return shipment from the Buyer.
5.6. Direct Return Costs: If the Buyer withdraws from the contract, the Buyer shall bear the direct costs of returning the product.
Transport Estimate: Due to the weight and dimensions of the product (approximately 200–250 kg), the hot tub cannot be returned via standard postal service. The direct cost of returning the product via standard freight or specialized courier transport is estimated at approximately €800 within Germany/EU, depending on the distance and pickup location.
Return Condition: The product must be securely packaged for transport (equivalent to the original delivery packaging) and made accessible at the property boundary/unloading site for freight pickup.
Refund Deduction: If the Buyer requests the Seller to arrange the return transport, the Seller may deduct the actual return freight cost from the refund.
5.7. The Buyer is only liable for any diminished value of the hot tub if the loss in value results from handling beyond what is necessary to inspect the quality, characteristics, and functioning of the product (similar to inspecting a product in a physical retail store).
The Buyer may visually inspect and test the components without water or fire. Filling the hot tub with water, lighting firewood in the stove, or operating the hydro/air massage systems constitutes active usage, which significantly degrades resale value of the product.
If a returned product shows signs of fire soot, chemical residue, water stains, scratches, or operational wear, the Seller reserves the right to deduct the corresponding loss in value directly from the Buyer’s refund amount.
5.8. The statutory right of withdrawal outlined in this Section 5 applies exclusively to natural persons purchasing as private consumers (B2C). Business entities, commercial buyers, and resellers (B2B) do not possess a statutory right of withdrawal.

6.1. These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Lithuania. For consumers residing within the European Union, this choice of law shall not deprive the consumer of the protection granted by mandatory provisions of the law of their country of residence.
7.1. Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, or the sale of the product shall first be resolved through good-faith negotiations between the parties.
7.2. If the parties fail to reach an amicable settlement, disputes shall be submitted to the competent courts of the Republic of Lithuania, unless mandatory consumer protection laws provide otherwise.
7.3. Alternative Dispute Resolution (ADR / VSBG): The Seller is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle).
8.1. The Seller is liable without limitation for intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit), for injury to life, body, or health (Verletzung von Leben, Körper oder Gesundheit), under the German Product Liability Act (Produkthaftungsgesetz), and for breaches of essential contractual obligations (Kardinalpflichten).
8.2. In cases of slight negligence (einfache Fahrlässigkeit), liability for the breach of an essential contractual obligation shall be limited to foreseeable, contract-typical damages.
8.3. Essential contractual obligations (Kardinalpflichten) are duties whose fulfillment is essential to the proper performance of the contract and on whose compliance the Buyer regularly relies.
8.4. Any further liability for damages is excluded, except as provided under mandatory law.
8.5. The Buyer is responsible for ensuring proper installation, maintenance, and safe use of the product in accordance with the provided instructions.
9.1. The Seller shall not be liable for any failure or delay in performance caused by events beyond its reasonable control.
9.2. Such events include, but are not limited to:
9.3. In the event of force majeure, the Seller’s obligations shall be suspended for the duration of the force majeure event. If such event continues for an extended period, either party may terminate the contract by written notice without liability for damages.
10.1. Risk of loss or damage to the product transfers to the Buyer upon physical delivery of the product to the Buyer or to a person designated by the Buyer.
10.2. Ownership of the product shall transfer to the Buyer only upon full payment of the purchase price.
11.1. The Buyer acknowledges that the hot tub is a heating appliance that must be installed and operated strictly in accordance with the provided safety and installation instructions.
11.2. The Seller shall not be liable for damage or injury resulting from:

11.4. Local Permits and Regulatory Compliance: The Buyer is solely responsible for identifying, applying for, and obtaining any local building permits, fire safety approvals, municipal clearances, or regulatory permissions required for the installation and operation of the hot tub at their chosen site.
11.5. Water Quality and Health Responsibilities: The Buyer is exclusively responsible for maintaining water sanitation, hygienic safety, and chemical balance (e.g., maintaining pH levels between 7.2 and 7.6) to prevent bacterial growth or health risks. The Seller accepts no liability for bodily harm, skin irritation, or health complications arising from improper water maintenance or neglected hygiene.
11.6. Fire Safety, Ember Hazards, and Unattended Burning Liability:
The Buyer acknowledges that operating a wood-fired stove involves natural risks associated with open fire, high surface temperatures, radiant heat, ash, and falling embers.
11.7. Condensation, Creosote & Drip Protection Liability:
The Buyer acknowledges that wood combustion naturally produces acidic, tar-laden condensation (creosote) that drips from the stove’s designated drainage opening at the bottom of the stove.
12.1. These Terms and Conditions constitute the entire agreement between the Seller and the Buyer regarding the sale of the product and supersede all prior agreements, communications, and understandings, whether written or oral.
12.2. Any amendments or modifications to these Terms and Conditions shall be valid only if made in writing and agreed upon by both parties.
12.3. Individual Consumer Purchases (B2C):
For consumer purchases, each order shall be governed by the version of these Terms and Conditions in effect at the time the contract is concluded. Consumers must actively accept the applicable version of the Terms and Conditions during each checkout process or upon contract signature.
12.4. Commercial Resellers & Framework Agreement (B2B):
For commercial buyers, business entities, and authorized resellers, a single signed copy of these Terms and Conditions shall serve as a binding Framework Agreement (Rahmenvertrag) governing the current purchase as well as all future orders and purchases of hot tubs placed by the reseller, regardless of quantity, unless expressly agreed otherwise in writing or superseded by an updated written agreement.
12.5. UAB “SPA WAVE” reserves the right to amend these Terms and Conditions if necessary due to changes in applicable laws, regulatory requirements, or operational circumstances. Proposed amendments for future orders shall be communicated in writing (e.g., via email or reseller notice). Any updated terms shall apply to future reseller orders upon written notice or upon placing a subsequent order following receipt of such notice.
13.1. All prices displayed on the e-shop or quoted in written commercial offers are listed in Euros (€ / EUR) and include statutory Value Added Tax (VAT).
13.2. Outbound shipping fees are clearly calculated and displayed during checkout or itemized in commercial quotations prior to purchase.
13.3. Payment is due immediately upon order placement via the accepted payment methods provided at checkout, unless an alternative payment arrangement (e.g., bank transfer before dispatch) has been agreed upon in writing.

UAB ‘SPA WAVE’ reserves the right to amend these Terms and Conditions if necessary due to changes in applicable laws, regulatory requirements, or operational circumstances. By reading and signing this document, the Buyer agrees to these Terms and Conditions and acknowledges that the hot tub must be operated strictly in accordance with the provided safety guidelines and instruction manual. Failure to follow the medical, safety, and operating instructions may void warranty coverage for resulting damage and release the Seller from liability to the extent permitted by law
